1. Introduction

Welcome to SalonEase – a software platform for managing salons, spas and beauty businesses. These Terms of Use (the "Terms") are a legal agreement between you ("you" or the "user") and SalonEase ("we," "us" or "our"). They govern your access to and use of our website, mobile application and related services (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Acceptance and changes to the Terms

Acceptance

Your access to or use of the Services constitutes your acceptance of these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

Changes

We may update these Terms from time to time to reflect changes in our services or legal obligations. When updates are material, we will notify you via the application, website, or email. Your continued use of the Services after the updated Terms are posted indicates your acceptance of the changes. You should review these Terms regularly.

3. Eligibility

The Services are intended for users who are at least 18 years old or of legal age to form a binding contract in your jurisdiction. If you are younger, you must have consent from a parent or legal guardian. We reserve the right to refuse or terminate access if we determine that you do not meet these requirements or violate applicable laws.

4. Registration and accounts

Account security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach. We are not liable for losses caused by your failure to secure your account.

Each individual may only have one personal account. Accounts are non-transferable and may not be sold, shared, or assigned to others. We reserve the right to suspend or terminate accounts that violate these Terms or the law.

5. License to use the Services

Limited license

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your own personal or legitimate business purposes in accordance with these Terms.

Scope

You may not sell, rent, lease, sublicense, distribute, copy, modify, or create derivative works of the Services or any content owned by SalonEase without our prior written consent. You may not use the Services to build or promote a competing product.

6. Permitted conduct and user commitments

By using the Services, you agree to:

1. Comply with laws: Use the Services in accordance with all applicable laws and regulations, respecting the rights and interests of others.
2. Appropriate use: Use the Services only for lawful personal or business purposes and not to harm, disrupt or interfere with our systems.
3. Protect credentials: Keep your login information confidential and accept responsibility for all activities carried out under your account.
4. Update information: Maintain accurate contact and payment details. We may request proof of identity or related documents for verification.

7. Prohibited conduct

You may not:

1. Attack the system: Access, collect, scrape, reverse engineer, or attempt to enter our systems, databases or source code without authorization.
2. Build competing products: Use the Services to design, develop, or market a competing service or software.
3. Automate misuse: Use robots, bots, scripts or other automated methods to access, extract data or interact with the Services without our permission.
4. Overload or disrupt: Transmit viruses, trojans, spam, or any malicious code; engage in activities that overload or interfere with the Services’ operation.
5. Post prohibited content: Upload, send or share illegal, fraudulent, defamatory, obscene, hateful, abusive or otherwise objectionable content, or content that violates any third-party rights, including privacy and intellectual property rights.
6. Misuse the service: Resell, license, or transfer access to the Services; use them for fraudulent or illegal activities.

8. User-generated content

If the Services allow you to post, upload or share content (e.g., reviews, comments, images), you agree that:

Responsibility

You are solely responsible for your content and ensure it complies with the law, does not infringe intellectual property rights, privacy or other rights of any person.

License

By submitting content, you grant SalonEase a worldwide, perpetual, non-exclusive, royalty-free, transferable and sublicensable right to use, reproduce, adapt, publish, translate, display, distribute and create derivative works from your content in connection with operating, improving or promoting the Services. You waive any moral rights to the extent permitted by law.

Enforcement

We may remove, edit or refuse to post any content we believe violates these Terms or harms others.

9. Payments and refunds

Payments

When you purchase subscriptions or services through SalonEase, you agree to pay the published price and any applicable taxes or fees. Payments may be processed by third-party providers (e.g., VNPAY, Stripe) according to their secure procedures.

Refunds

Refund requests are governed by our separate Refund Policy, which specifies the conditions, deadlines and procedures for obtaining a refund. We reserve the right to decline refund requests that do not meet the policy criteria.

10. Privacy and data protection

Our collection, use and sharing of your personal information is governed by our Privacy Policy. By using the Services, you consent to the processing of your personal data as described in that policy. In the event of any conflict between these Terms and the Privacy Policy with respect to personal data, the Privacy Policy will prevail.

11. Disclaimer

Services "as is"

SalonEase provides the Services and all content on an "as is" and "as available" basis, without any warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement or accuracy.

No guarantee

We do not warrant that the Services will be uninterrupted, error-free, secure or free of viruses or other harmful components. Your use of the Services is entirely at your own risk. SalonEase is not responsible for any loss, damage or expenses arising from your use or inability to use the Services, except as required by law.

12. Limitation of liability

To the extent permitted by law, SalonEase and its employees, partners, suppliers and licensors are not liable for any direct, indirect, incidental, special, consequential or punitive damages arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages. If applicable law requires a cap on liability, our total liability to you for all claims will not exceed the amount you paid to SalonEase in the six months preceding the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify and hold harmless SalonEase, its parent company, subsidiaries, partners, service providers, and their respective employees from any claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising from or related to: (i) your use of the Services; (ii) your violation of these Terms; (iii) your content; or (iv) your infringement of any third-party rights.

14. Termination and suspension

We may suspend or terminate your access to the Services immediately, without refund, if you violate these Terms or if required to comply with legal obligations or protect our rights. Upon termination, your right to use the Services will cease immediately. You may terminate your account by stopping the use of the Services and submitting a request to our support.

15. Governing law and dispute resolution

These Terms are governed by the laws of the Socialist Republic of Vietnam (or the jurisdiction where SalonEase is legally registered). Any dispute arising from or related to these Terms shall first be attempted to be resolved amicably. If resolution is not reached within 30 days, disputes shall be submitted to the competent courts as stipulated by law.

16. Miscellaneous

• Entire agreement: These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and SalonEase regarding the Services. If any provision is deemed invalid, the remaining provisions will remain in effect.
• Assignment: You may not assign or transfer your rights and obligations under these Terms without our prior written consent. We may assign our rights and obligations without notice, provided that your rights are not diminished.
